1. Agreement to Terms
By creating an account, accessing, or using any Hyparrow service — including the merchant dashboard, APIs, checkout pages, wallet, beta testing programme, or affiliate programme — you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use our services.
These Terms constitute a legally binding agreement between you ("User", "Merchant", or "Tester") and Hyparrow ("we", "us", "our"), a financial technology platform registered and operating under the laws of the Federal Republic of Nigeria.
2. Definitions
"Platform" means the Hyparrow website (hyparrow.com), merchant dashboard (dashboard.hyparrow.com), APIs, mobile applications, checkout pages, and any related services.
"Merchant" means any individual or business that creates a Hyparrow account to accept payments, issue invoices, manage subscriptions, or use any Hyparrow business service.
"Customer" means an end user who makes a payment or interacts with a Merchant through the Hyparrow Platform.
"Beta Tester" means an individual invited or approved to participate in the Hyparrow Beta Testing Programme.
"Affiliate" means an individual enrolled in the Hyparrow Affiliate Programme to promote our services.
3. Eligibility & Account Registration
You must be at least 18 years old and legally capable of entering binding agreements. By registering, you confirm that all information you provide — including your name, email address, phone number, and business details — is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials, including your password, API keys, and webhook secrets. You accept responsibility for all activities that occur under your account. You must notify us immediately at Info@hyparrow.com if you suspect any unauthorised access.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for fraudulent or illegal purposes.
4. Business Verification & Onboarding (KYC/KYB)
To access full platform capabilities, Merchants must complete our onboarding and verification process. Depending on your business type (sole trader, business name, registered company, or incorporated trustee), you may be required to provide government-issued identification, proof of address, certificates of incorporation, memoranda of association, shareholder structures, TIN certificates, and director signatures.
Personal account holders must verify their identity through BVN (Bank Verification Number) verification before creating a wallet. By initiating BVN verification, you consent to us retrieving and storing your name, date of birth, and other identity information from the BVN registry for account verification purposes.
Our compliance team reviews all applications within 1–3 business days. We reserve the right to reject applications, request additional documentation, or temporarily reject applications pending corrections. Providing false or fraudulent documents will result in permanent account suspension.
5. Services Provided
Hyparrow provides the following services, subject to eligibility and verification: (a) Payment collection via virtual accounts, card payments, USSD, OPay, and cryptocurrency; (b) Invoice creation, management, and payment processing; (c) Subscription billing and recurring payment management; (d) Wallet services including fund storage, bank transfers, and payouts; (e) Virtual card issuance for personal and business use; (f) Bill payment services (airtime, data, electricity, cable TV, and other utilities); (g) Product and inventory management; (h) Payment links for quick one-off or recurring collections; (i) Customer management and virtual account generation; (j) KYC/Identity verification API services (BVN, NIN, CAC, TIN, and more); (k) Webhook notifications and real-time event delivery; (l) Analytics, reporting, and dashboard tools; (m) Support ticket system with real-time chat; (n) Blog and educational resources.
We may add, modify, or discontinue services at any time with reasonable notice. Services may be subject to individual terms, usage limits, or additional fees.
6. Fees & Payment Terms
Hyparrow charges a transaction fee of 1% on each successful payment processed through the platform. There are no hidden charges. Fee structures for specific services (KYC verification calls, virtual cards, bill payments, money transfers) may vary and are displayed before you confirm each transaction.
All fees are deducted automatically from transaction proceeds or your wallet balance. You are responsible for ensuring sufficient funds are available for any applicable fees.
We reserve the right to update our fee structure with at least 30 days' notice via email or dashboard notification. Continued use of the Platform after fee changes constitutes acceptance of the updated fees.
7. Wallet & Financial Services
The Hyparrow Wallet allows you to receive payments, store funds, and initiate bank transfers. To create a wallet, personal account holders must complete BVN and phone number verification. Business account holders must complete business onboarding.
Payouts from your wallet to external bank accounts are subject to processing times and may incur transfer fees. We process payouts on a best-effort basis and are not liable for delays caused by banking infrastructure or third-party payment providers.
You must not use the wallet for money laundering, terrorist financing, or any illegal activity. We monitor transactions for suspicious activity and may freeze accounts pending investigation in compliance with Nigerian financial regulations.
8. API Keys & Developer Access
Merchants may generate API keys (test and live) to integrate Hyparrow payment services into their applications. You are solely responsible for securing your API keys and webhook secrets. You must not share, publish, or embed live API keys in client-side code or public repositories.
API usage is subject to rate limits. Abuse, excessive load, or use of our APIs to facilitate illegal transactions may result in key revocation and account suspension.
We provide webhook delivery for real-time event notifications. While we make reasonable efforts to deliver webhooks promptly, we do not guarantee delivery and recommend implementing reconciliation mechanisms.
9. Prohibited Uses
You agree not to use Hyparrow services for: (a) Any illegal, fraudulent, or deceptive activity; (b) Money laundering or terrorist financing; (c) Sale of prohibited goods or services under Nigerian law; (d) Transactions involving sanctioned persons or entities; (e) Attempting to reverse-engineer, decompile, or exploit our software; (f) Automated scraping, abuse, or overloading of our systems; (g) Impersonating another person or entity; (h) Circumventing security measures, rate limits, or access controls; (i) Using test/sandbox credentials for live transactions or vice versa.
Violation of these prohibitions will result in immediate account termination and may be reported to relevant law enforcement authorities.
10. Intellectual Property
All content, software, designs, logos, trademarks, and documentation on the Hyparrow Platform are our exclusive intellectual property or that of our licensors. You may not copy, modify, distribute, sell, or create derivative works from any part of our Platform without prior written consent.
By submitting content (such as product images, business logos, or blog posts) to the Platform, you grant us a non-exclusive, royalty-free licence to display and use that content in connection with operating the Platform.
11. Refunds & Disputes
Refund policies are managed by the Merchant who received the original payment. Hyparrow provides the technical capability for Merchants to process refunds through the Platform. We are not responsible for Merchant refund decisions.
If you have a dispute with a Merchant regarding a transaction processed through Hyparrow, you should first contact the Merchant directly. If the dispute cannot be resolved, you may contact us at Info@hyparrow.com and we will make reasonable efforts to assist.
Chargebacks initiated through card networks will be processed according to the applicable card scheme rules. Merchants are responsible for chargeback fees and may have funds debited from their wallet to cover disputed amounts.
12. Account Suspension & Termination
We may suspend or terminate your account at any time if: (a) You breach these Terms; (b) We detect fraudulent or suspicious activity; (c) You fail to complete verification within a reasonable time; (d) Required by law, regulation, or court order; (e) Your account has been inactive for an extended period.
Upon termination, any funds remaining in your wallet will be returned to your verified bank account, less any outstanding fees or disputed amounts, within 30 business days. API keys will be immediately revoked and all active services will cease.
You may close your account at any time by contacting support. Account closure is subject to settlement of all pending transactions and obligations.
13. Limitation of Liability
Hyparrow services are provided "as is" and "as available." We make no warranties, express or implied, regarding the availability, accuracy, or reliability of our services.
To the maximum extent permitted by law, Hyparrow shall not be liable for: (a) Indirect, incidental, special, or consequential damages; (b) Loss of profits, revenue, data, or business opportunities; (c) Damages arising from third-party service interruptions (banking networks, payment processors, identity verification providers); (d) Unauthorised access to your account resulting from your failure to secure credentials.
Our total liability for any claim arising from your use of the Platform shall not exceed the total fees paid by you to Hyparrow in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Hyparrow, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from: (a) Your use of the Platform; (b) Your violation of these Terms; (c) Your violation of any applicable law or regulation; (d) Any dispute between you and your Customers; (e) Content you upload or submit to the Platform.
15. Third-Party Services
Hyparrow integrates with third-party services including payment processors, banking institutions, identity verification providers, and blockchain networks to deliver our services. We are not responsible for the performance, availability, or policies of these third-party services. Your use of features that rely on third-party infrastructure is subject to their respective terms and conditions.
16. Modifications to Terms
We may update these Terms at any time. Material changes will be communicated via email or dashboard notification at least 14 days before taking effect. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
17. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from or in connection with these Terms shall first be resolved through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023. The language of arbitration shall be English.
